Job Description:

Responsibilities:

  1. Manages simple contract negotiations and document processes for Product Marketing, Purchasing, and Sales.
  2. Reviews, revises, drafts, and negotiates Customer-related volume purchase/buying group agreements (less than $100 Million), rebate agreements, as well as Product Marketing-related modifications.
  3. Provides advice to Sales and other related departments regarding business issues/risks.
  4. Negotiates Strategic Initiatives agreements.
  5. Assists in developing mitigation strategies, and negotiates to obtain favorable contract terms.
  6. Identifies process improvements, participates to implement continuous improvement initiatives.
  7. Researches/prepares responses to RFP, RFI and RFQs.
  8. Performs contract compliance functions including the review of agreements, implementation of terms and audit of selected databases.
  9. Supports Transactional Legal Team in a variety of tasks which include termination reviews and processes, review and interpretation of contract terms, SOX/audit research and other project work.
  10. Reviews and negotiates standard TD SYNNEX documents and agreements such as termination letters, one-time purchase order agreements, and settlement agreements.
  11. Performs contract compliance functions including the review of agreements against business reality to ensure proper application of terms, audit of contract terms within selected databases/processes, rebate and pricing terms, etc.
  12. Serves as liaison between TD SYNNEX departments to ensure negotiations represent the common interests of all departments involved.
  13. Participates in cross departmental project work, as determined by Manager.
  14. Assists in document retention and legal discovery efforts.
  15. Performs additional duties as assigned.

Knowledge, Skills and Experience:

  1. Operates under normal supervision, within established guidelines.
  2. Exercises a medium level of independent thinking and problem solving capabilities.
  3. Conducts negotiations under supervision or direction.
  4. 1 to 2 years of experience required. Prior negotiation and/or contract/document handling experience desirable.
  5. Knowledge of TD SYNNEX internal processes desirable.
  6. Legal training, paralegal certificate and/or other educational background stressing analytical and writing skills desirable.
  7. Self motivated, work well under stress and shifting priorities.
  8. Strong verbal, analytical and writing skills a must. English mastery required. Additional languages desirable.
  9. Able to build solid, effective working relationships with others.
  10. Able to express ideas clearly (verbally, in writing, in private and public settings) and convey necessary information.
  11. Able to interact effectively with all levels of management.
  12. Able to negotiate skillfully, promote/sell ideas persuasively, and close transactions with mutually beneficial results.
  13. Problem Solving: HIGH level of "self starting" thinking required for analysis, evaluation, creating, reasoning, and drawing conclusions/solutions.
  14. Able to maintain confidentiality of sensitive information.
