About the Role:

AGROPHENOLS is seeking an experienced and proactive
In-House Lawyer
to support the company's legal, corporate, and commercial activities. The role focuses on drafting and negotiating contracts, managing shareholder and corporate matters, and coordinating with external legal advisors representing suppliers, investors, buyers, and other business partners.This position requires strong commercial judgment, attention to detail, and the ability to work independently in a fast-paced, international environment.

Key Responsibilities:

1) Contract Drafting & Negotiation

  • Draft, review, and negotiate a wide range of commercial contracts, including supplier and procurement agreements, sales and distribution agreements, service agreements, NDAs, MOUs, LOIs, etc.
  • Ensure contracts are legally sound, commercially aligned, and compliant with applicable laws.
  • Identify legal risks and propose practical, business-oriented solutions.

2) Corporate & Shareholder Matters

  • Draft, review, and update shareholder agreements, investment agreements, and corporate governance documents.
  • Support changes in share capital, including share issuances, transfers, capital increases/reductions, and related filings.
  • Assist with corporate restructuring, board resolutions, and general corporate compliance.

3) Investor & Transaction Support

  • Support negotiations and legal documentation for investors, strategic partners, and financing transactions.
  • Coordinate legal due diligence processes and respond to legal inquiries from potential investors or partners.

4) External Legal Coordination

  • Act as the main point of contact with external lawyers representing suppliers, investors, buyers and commercial partners.
  • Review and align external legal advice with AGROPHENOLS' business objectives.
  • Manage legal correspondence and ensure timely follow-up on legal matters.

5) Compliance, Risk & HR Legal Support

  • Monitor relevant legal and regulatory requirements affecting the company's operations.
  • Support internal compliance processes and corporate record-keeping.
  • Provide legal support on HR-related matters, including employment contracts, policies, terminations, and compliance with labor law (knowledge in this area is a strong plus).
  • Advise management on legal risk mitigation across business and people-related activities.

6) General Legal Support

  • Advise management and internal teams on legal implications of business decisions.
  • Support additional legal tasks as required, including ad-hoc projects and strategic initiatives.

7) Additional Corporate & Group Legal Support

  • Provide legal support to subsidiaries and other companies affiliated through common shareholders, including coordination across multiple jurisdictions.
  • Draft, review, and negotiate intercompany agreements and support cross-border corporate and commercial matters.
  • Coordinate with external counsel in different jurisdictions to ensure consistency and compliance across the group.

Qualifications & Experience

  • Law degree from an accredited university; admission to practice law is preferred.
  • 3–7+ years of relevant legal experience, ideally in-house or in a law firm with strong corporate/commercial focus.
  • Proven experience with:
  • Commercial contracts
  • Shareholder agreements and corporate law
  • Capital structure changes and investor transactions
  • Knowledge of HR and employment law is a strong advantage.
  • Experience working with international counterparties is a plus.

Skills & Competencies

  • Solid understanding of corporate and commercial law.
  • Ability to manage multiple matters independently and prioritize effectively.
  • Excellent communication skills and confidence interacting with external lawyers and stakeholders.
  • Working knowledge of employment and labor law (preferred).
  • Practical, business-oriented mindset.
